Terms of Service

These terms are an agreement between Adam Kalan LTD, a company registered in England and Wales that runs and created Smart Car Studio ("we", "us"), and the business that creates or uses a Smart Car Studio workspace ("you").

By creating an account, joining a workspace or buying credits, you accept these terms. If you accept them for a dealership, you confirm you have authority to bind it.

Smart Car Studio is for business use only. You confirm you are using it for your trade or business and not as a consumer.

Smart Car Studio lets dealerships store vehicle records, capture and upload vehicle photos, and turn them into studio images set in a branded showroom using automated and AI image processing.

We work to keep the service available and to improve it, and we may change, add or remove features. We will give reasonable notice before removing a feature you rely on. The service may sometimes be unavailable for maintenance or because of problems with our providers.

• Keep your sign-in details and your workspace join password confidential. You are responsible for activity under your account and in your workspace.
• The workspace owner controls who is a member, what role they have and when they are removed. Members can see the workspace's vehicles, photos, showrooms and credit history.
• Only add team members with their agreement, using an email address they control.
• Tell us straight away at info@smartcarstudio.com if you think your account or workspace has been accessed without permission.

• Studio images are paid for with credits. Each studio image currently uses 1.5 credits. If the AI finishing step cannot be completed, you receive the standard composite image and we charge 1 credit.
• Credits are bought in packs at the price shown at checkout, currently 150 credits for £65. Payments are taken by Stripe. Prices include any VAT that applies, as shown at checkout.
• Credits are added to your workspace once Stripe confirms payment. They belong to the workspace, not to an individual member, and cannot be transferred to another workspace or exchanged for cash.
• Credits do not expire while your workspace is active. Unused credits end when the workspace is closed.
• Credits are non-refundable once used. If you have not used any credits from a pack, you can ask for a refund within 14 days of purchase. If a technical fault on our side means an image could not be produced, we will return the credits for it.
• We may change credit prices or how many credits an image uses. Changes apply to future use, and we will show them in the app before they take effect.
• We may set fair-use limits, such as a daily limit on AI-generated showrooms, to keep the service reliable and costs under control.

You keep ownership of everything you upload, including vehicle photos, logos, showroom images and vehicle details ("your content"), and of the studio images produced from it.

You give us a non-exclusive licence to host, copy, process and display your content only as needed to run Smart Car Studio for you, including sending it to our processing providers. We will not use your content to advertise Smart Car Studio without your permission.

You confirm you own your content or have permission to use it, including any logos, trade marks and showroom images, and that using it with Smart Car Studio does not break anyone else's rights.

Smart Car Studio is designed to keep the real vehicle, its condition and its number plate unchanged and to change only the setting and lighting. Automated and AI processing can still make mistakes.

• Check every image before you publish it, and do not publish an image that misrepresents the vehicle's condition, colour, features, damage or identity.
• You are responsible for your listings and adverts, including meeting the CAP Code, consumer protection law and the rules of any marketplace you advertise on.
• Do not use Smart Car Studio to create misleading, unlawful, offensive or infringing content.

You must not:

• try to get into other workspaces, accounts or data you are not authorised to see;
• test, probe, scan or overload the service, or get around usage limits, credits or security controls;
• copy, resell or rebuild the service, or use it to build a competing product;
• upload malware, or content you do not have the right to use; or
• use the service in a way that breaks the law or these terms.

We may suspend or limit access if we reasonably believe these rules have been broken, to protect the service or other customers. Where we can, we will tell you first.

Smart Car Studio, including its software, design, preset showrooms and branding, belongs to us or our licensors. These terms give you the right to use the service. They do not transfer any of our intellectual property to you.

If you send us feedback or ideas, we may use them freely to improve the service.

Our Privacy Policy explains how we handle personal data. Where we process personal data in your content on your behalf, such as vehicle registrations or people who appear in photos, we act as your processor. We process it only on your instructions, to provide the service, keep it secure and confidential, use only providers who protect it, and help you respond to requests under UK data protection law.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Apart from that, we are not liable for loss of profits, sales, business, goodwill or data, or for any indirect or consequential loss.

Our total liability to you under or in connection with these terms in any 12-month period is limited to the amount you paid us for credits in that period.

Except as these terms say, the service is provided "as is". We do not promise that it will be uninterrupted or error-free, or that every image will be suitable for your purposes.

You are responsible for, and will cover our reasonable losses arising from, claims that your content or your use of studio images breaks someone else's rights or the law.

You can stop using Smart Car Studio at any time. To close your workspace and have its data deleted, email info@smartcarstudio.com.

We can end these terms or close a workspace on 30 days' notice, or straight away if you seriously or repeatedly break these terms or do not pay what you owe. If we end the agreement without cause, we will refund any credits you bought but have not used.

When the agreement ends, your right to use the service stops. Sections on your content, liability and the law that applies continue to apply.

We may update these terms. We will change the date at the top of this page and, for significant changes, tell workspace owners at least 14 days in advance. If you keep using the service after a change takes effect, the new terms apply.

• Neither of us is responsible for delays or failures caused by events outside our reasonable control.
• If any part of these terms cannot be enforced, the rest stays in force.
• These terms are the whole agreement between us about Smart Car Studio and replace earlier discussions.
• Nobody other than you and us has any right to enforce these terms.
• These terms, and any dispute about them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
